1. General provisions
These Terms of Service govern the use of the mobile application and websites operated under the Plannii brand (the “App” or the “Service”), which connect people organizing events with local companies providing event services.
The Service is operated by M&W APPLICATIONS Sp. z o.o., a Polish limited-liability company with its registered office in Wejherowo, ul. Gen. Józefa Hallera 20, 84-200 Wejherowo, Poland, entered in the Polish National Court Register under KRS 0001216464, tax ID NIP 5882541886, REGON 543717223 (the “Operator”).

2. Definitions
- User — a natural person with full legal capacity who uses the App.
- Organizer (Buyer) — a User who creates an event and purchases services from Sellers.
- Seller (Company) — a business offering event services in the Service.
- Participant (Guest) — a person invited to an event by an Organizer who uses RSVP, group chat and polls.
- Agreement Card — an electronic summary of arrangements between an Organizer and a Seller, forming the basis of a Reservation.
- Reservation — a commitment to deliver a service that arises after acceptance of an Agreement Card.
- Payment Operator — Stripe Payments Europe, Ltd. or a Stripe group entity.
3. Technical requirements
- a device running iOS (latest and one previous major version) or Android (minimum version listed in the store),
- an active Internet connection,
- an active email account.
4. User account
- Creating an account is voluntary and free of charge. Authentication is provided by Clerk and is available via email/password or Google or Apple sign-in.
- The User undertakes to provide truthful, current data and to safeguard their credentials.
- Seller and Organizer accounts are separate. A single account cannot be used for both roles at the same time.
- The User may delete the account at any time. The consequences of deletion are described in the Privacy Policy (right to be forgotten).
5. Scope of services
- creating events, guest lists and handling RSVP responses,
- 1:1 chat (Organizer–Seller) and group chat with Participants,
- negotiations and Agreement Card,
- reservations and payments handled exclusively by the Payment Operator,
- polls and group decisions.
The Operator does not provide event services on its own. The Organizer and the Seller are always the parties to any event-services contract.
6. Payments
- All payments are processed by the Payment Operator (Stripe). The App does not collect, store or process full payment-card data.
- Payment method selection (card, Apple Pay, Google Pay, Klarna) takes place in Stripe's secure form.
- Payment may be made in full or in stages (deposit and balance) as defined in the Agreement Card.
- Failure to pay the deposit or balance on time results in automatic cancellation of the Reservation, without further claims against the Seller.
- In the current MVP version of the Service, no automated refund mechanism is provided. Any rescheduling, cancellation or refund is arranged directly between Organizer and Seller via chat and executed outside the Service.
- Settlement currencies are PLN or EUR, depending on Seller settings and the offer.
- The Operator charges Sellers a commission on completed transactions, agreed individually with each Seller.
7. User obligations
- use the App in accordance with applicable law and good practice,
- do not share login credentials,
- do not post unlawful, offensive, infringing or spam content,
- do not scrape data or attempt to bypass security measures.
8. User content
The User retains rights to content uploaded to the Service (photos, descriptions, chat messages) and grants the Operator a non-exclusive, royalty-free licence solely to the extent necessary to deliver the service (storage, in-App display, backups).
9. Complaints
Complaints regarding the App may be sent to [email protected]. The Operator handles complaints within 14 days of receipt.
Complaints concerning the quality or delivery of a specific event service should first be addressed to the Seller, as the Seller is the party to the underlying service contract.
10. Liability
- The Operator endeavours to keep the Service running continuously. The Operator is not liable for downtime caused by force majeure, third-party action or required maintenance.
- The Operator is not a party to the contract between Organizer and Seller and is not responsible for its performance.
- To the extent permitted by law, the Operator's liability is limited to damages caused by wilful misconduct.
11. Consumer right of withdrawal
A consumer (within the meaning of EU consumer-protection law) has the right to withdraw from the electronic-services agreement with the Operator within 14 days of its conclusion (account creation), without giving any reason, by sending a notice to [email protected]. The right of withdrawal does not apply to individual event services ordered from a Seller whose performance has begun, with the consumer's consent, before the withdrawal period ends.
12. Personal data
Processing of personal data is described in the Privacy Policy.
13. Changes
The Operator may amend these Terms for valid reasons (changes in functionality or law, security considerations). Users are notified of material changes at least 14 days in advance via the App or by email.
14. Governing law and disputes
These Terms are governed by Polish law. The parties shall seek to resolve disputes amicably. Consumers may use the European Commission's ODR platform at ec.europa.eu/consumers/odr.
